These Terms of Service govern the relationship between 5RV Digital ("5RV Digital", "we", "our", or "us") and any individual, company, organisation, or business ("Client", "you", or "your") that engages our services or uses our website.
These terms apply to all services provided by 5RV Digital, including but not limited to website design and development, search engine optimisation (SEO), paid advertising management, branding, graphic design, content creation, social media marketing, consultancy, technical optimisation, website maintenance, hosting support, and other digital marketing services.
By approving a quotation, accepting a proposal, signing a service agreement, making payment, requesting work to commence, or continuing to use our services, you agree to be legally bound by these Terms of Service.
These Terms should be read alongside our Privacy Policy, Cookie Policy, and any individual Service Agreement or Statement of Work issued by 5RV Digital.
For clarity throughout these Terms, the following definitions apply.
Client – Any business, organisation, or authorised representative purchasing or using services provided by 5RV Digital.
Services – Any digital marketing, web development, SEO, branding, advertising, consultancy, design, or technical services provided by 5RV Digital.
Proposal – Any quotation, project proposal, scope of work, estimate, or written agreement outlining the services to be delivered.
Project – Any agreed piece of work delivered on a fixed-price or milestone basis.
Retainer – An ongoing monthly agreement covering recurring marketing or technical services.
Deliverables – The final agreed outputs produced under a project, including websites, branding, graphics, content, reports, campaigns, or other agreed materials.
Third-Party Platforms – External services including Google, Meta, LinkedIn, Microsoft, WordPress, Shopify, Webflow, Squarespace, Wix, hosting providers, CRM platforms, analytics providers, payment gateways, and similar services.
Business Day – Monday to Friday, excluding public holidays in England and Wales.
Intellectual Property – Any copyright, trademarks, creative assets, designs, source code, documentation, marketing strategies, or proprietary methodologies owned by 5RV Digital.
Data Controller – The organisation determining the purposes and means of processing personal data.
Data Processor – An organisation processing personal data on behalf of another organisation under contractual instructions.
5RV Digital is a business-to-business (B2B) digital marketing agency providing professional marketing, web development, branding, and digital growth services to businesses throughout the United Kingdom and internationally.
Our services are delivered in accordance with applicable UK legislation, commercial best practices, and recognised industry standards.
Where applicable, our handling of personal information complies with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and the Privacy and Electronic Communications Regulations (PECR).

Services are delivered only within the agreed scope outlined in the approved proposal or service agreement.
All projects are delivered according to the agreed scope of work before the project begins.
Any request that falls outside the agreed scope may require:
5RV Digital reserves the right to refuse additional work until revised commercial terms have been agreed.
Project delivery dates are estimated based on the information available at the time work begins.
Delivery schedules depend on factors including:
Where delays occur due to missing information, unavailable access, or delayed feedback, project deadlines will automatically be extended accordingly.
Although we always aim to deliver projects within agreed timescales, we cannot guarantee delivery dates where delays arise from factors outside our reasonable control.

Failure to provide required information may delay project completion.
All quotations are exclusive of VAT unless stated otherwise.
Projects may require an advance deposit before work begins.
Invoices must be paid within the payment period specified on the invoice.
Failure to pay invoices may result in:
Ownership of deliverables does not transfer until all outstanding invoices have been paid in full.
Projects normally require a non-refundable deposit of up to 50% before work begins.
Where a project is cancelled after work has commenced, completed work, allocated resources, and development time remain chargeable.
Deposits are non-refundable.
Monthly retainers require a minimum of 30 days' written notice unless otherwise stated in the Service Agreement.

Services performed during the notice period remain fully chargeable.
Requests to pause ongoing retainers should be submitted at least 14 days before the next billing cycle.
Approval remains at the discretion of 5RV Digital.
Websites may include third-party software, plugins, APIs, hosting environments, CMS platforms, and external integrations.
Although reasonable care is taken during development, 5RV Digital cannot guarantee future compatibility following software updates, browser changes, hosting changes, or third-party modifications.
Clients remain responsible for:
SEO is an ongoing marketing activity influenced by numerous external factors.
Accordingly, 5RV Digital does not guarantee:
Search engine algorithms regularly change, and rankings may fluctuate without notice.
Advertising campaigns are delivered through third-party advertising platforms.
Approval of advertisements, account suspensions, advertising costs, and campaign performance remain subject to the policies of Google, Meta, LinkedIn, Microsoft, and other advertising providers.
Advertising spend is separate from agency management fees unless otherwise agreed.
When providing services, 5RV Digital may access client websites, hosting environments, analytics platforms, CRM systems, databases, or other technical platforms.
Where such access involves processing personal data on behalf of a client, 5RV Digital acts solely as a Data Processor under the instructions of the client, who remains the Data Controller.
Client information is processed strictly for delivering agreed services and is protected through appropriate technical and organisational security measures.
All confidential business information shared with 5RV Digital during a project will be treated confidentially.
Neither party shall disclose confidential information except where required by law or where necessary to deliver the agreed services.
Confidentiality obligations continue after completion of the project.
All methodologies, templates, proposals, reports, internal systems, strategies, and working processes remain the intellectual property of 5RV Digital.
Upon full payment, clients receive the agreed rights to use final approved deliverables created specifically for their project.
Unless otherwise agreed, 5RV Digital may showcase completed work within its portfolio and marketing materials.
Many services depend upon external providers.
These include:
5RV Digital accepts no liability for outages, policy changes, suspensions, verification delays, or technical failures caused by third-party services.
Services are provided using reasonable care, professional skill, and industry best practices.
To the fullest extent permitted by law, 5RV Digital shall not be liable for indirect or consequential losses including loss of profits, business interruption, reputation damage, or loss of opportunity.
Our total liability shall not exceed the total fees paid for the specific service giving rise to the claim.
5RV Digital reserves the right to suspend or terminate services where:

The latest published version will always apply unless otherwise agreed in writing.
